Related Explainer: Why Did OpenAI Fire Sam Altman? Helen Toner And The E/Acc vs. Effective Altruism Divide Explained

Overview

Firing of Sam Altman from OpenAI, also known as Sam Altman Ousted From OpenAI, refers to the dismissal of former OpenAI CEO Sam Altman on November 17th, 2023, that led to a spurt of memes and speculation about the internal workings of the company behind ChatGPT in the latter half of 2023. Altman was fired from his position while Greg Brockman was released as the chairman of the board of directors. AI and tech enthusiasts on X and Reddit, among other sites, shared memes and discourse about Altman's controversial firing, which was reportedly due to him withholding information from the board.

Background

On November 17th, 2023, artificial intelligence research organization Open AI (who created products like GPT and DALL-E) released a statement from their board of directors saying that CEO Sam Altman had been fired due to his history of "not [being] consistently candid in his communications with the board."[1]

The letter (shown below) also stated that Greg Brockman would be released from his position as chairman of the board, however, he would retain his role at the company, reporting to the CEO. Additionally, the letter noted that Mira Murati, OpenAI’s chief technology officer, was appointed as interim CEO.

OpenAl announces leadership transition November 17, 2023 Authors OpenAl↓ Announcements Chief technology officer Mira Murati appointed interim CEO to lead OpenAl; Sam Altman departs the company. Search process underway to identify permanent successor. The board of directors of OpenAI, Inc., the 501(c)(3) that acts as the overall governing body for all OpenAl activities, today announced that Sam Altman will depart as CEO and leave the board of directors. Mira Murati, the company's chief technology officer, will serve as interim CEO, effective immediately. A member of OpenAl's leadership team for five years, Mira has played a critical role in OpenAl's evolution into a global Al leader. She brings a unique skill set, understanding of the company's values, operations, and business, and already leads the company's research, product, and safety functions. Given her long tenure and close engagement with all aspects of the company, including her experience in Al governance and policy, the board believes she is uniquely qualified for the role and anticipates a seamless transition while it conducts a formal search for a permanent CEO.
Mr. Altman's departure follows a deliberative review process by the board, which concluded that he was not consistently candid in his communications with the board, hindering its ability to exercise its responsibilities. The board no longer has confidence in his ability to continue leading OpenAl. In a statement, the board of directors said: "OpenAl was deliberately structured to advance our mission: to ensure that artificial general intelligence benefits all humanity. The board remains fully committed to serving this mission. We are grateful for Sam's many contributions to the founding and growth of OpenAl. At the same time, we believe new leadership is necessary as we move forward. As the leader of the company's research, product, and safety functions, Mira is exceptionally qualified to step into the role of interim CEO. We have the utmost confidence in her ability to lead OpenAI during this transition period." OpenAl's board of directors consists of OpenAl chief scientist Ilya Sutskever, independent directors Quora CEO Adam D'Angelo, technology entrepreneur Tasha McCauley, and Georgetown Center for Security and Emerging Technology's Helen Toner. As a part of this transition, Greg Brockman will be stepping down as chairman of the board and will remain in his role at the company, reporting to the CEO. OpenAl was founded as a non-profit in 2015 with the core mission of ensuring that artificial general intelligence benefits all of humanity. In 2019, OpenAI restructured to ensure that the company could raise capital in pursuit of this mission, while preserving the nonprofit's mission, governance, and oversight. The majority of the board is independent, and the independent directors do not hold equity in OpenAl. While the company has experienced dramatic growth, it remains the fundamental governance responsibility of the board to advance OpenAl's mission and preserve the principles of its Charter.

The news was shared by OpenAI's official X account on November 17th,[2] and was discussed on the /r/Futurology and /r/Technology subreddits shortly after.[3][4]

Developments

On November 17th, 2023, Greg Brockman took to his X[5] account to detail the events leading up to the firing. The post recounted how Ilya Sutskever, chief scientist and co-founder at OpenAI, had texted Altman on Thursday to schedule a Friday afternoon call (seen below).

Greg Brockman @gdb Sam and I are shocked and saddened by what the board did today. Let us first say thank you to all the incredible people who we have worked with at OpenAl, our customers, our investors, and all of those who have been reaching out. We too are still trying to figure out exactly what happened. Here is what we know: - Last night, Sam got a text from Ilya asking to talk at noon Friday. Sam joined a Google Meet and the whole board, except Greg, was there. Ilya told Sam he was being fired and that the news was going out very soon. - At 12:19pm, Greg got a text from Ilya asking for a quick call. At 12:23pm, Ilya sent a Google Meet link. Greg was told that he was being removed from the board (but was vital to the company and would retain his role) and that Sam had been fired. Around the same time, OpenAl published a blog post. - As far as we know, the management team was made aware of this shortly after, other than Mira who found out the night prior. According to the New York Times,[7] OpenAI held an all-hands meeting the afternoon after its announcement on November 17th where Ilya Sutskever defended Altman's ousting, saying that it was not a hostile takeover but a necessary move in order to protect OpenAI’s mission of "making AI beneficial to humanity."

On the evening of November 17th, Brockman then made another post to his X[8] account to announce his voluntary resignation from OpenAI (shown below). Brockman's announcement was closely followed by Director of Research Jakub Pachocki and Head of Preparedness Aleksander Madry resigning as well.

Internal and Investor Backlash Against Altman's Firing

According to Axios,[9] OpenAI's COO Brad Lightcap circulated an internal memo saying that the company's management team was not involved in Atlman's firing and that the decision was not based on any "malfeasance or anything related to our financial, business, safety, or security/privacy practices."

Moreover, Altman's ousting jeopardized the upcoming sale of OpenAI employee shares, which initially valued the company at $86 billion. According to TechCrunch, OpenAI's board of investors expressed their unhappiness with the company's decision and with the public outcry against Altman's firing.[10]

On November 19th, 2023, OpenAI appointed another CEO, Emmett Shear, the cofounder of the video streaming site Twitch, as a replacement for Murati. Murati has notably been publically supportive of Altman throughout the ordeal.[11]

On November 20th, Altman and Brockman then announced their plans to join Satya Nadella at Microsoft, heading a new advanced artificial intelligence research team (shown below). The duo were reportedly joined by several high-profile colleagues from OpenAI.[12]

On November 20th, over 700 OpenAI employees signed a letter[14] threatening mass resignation if Altman was not reinstated to his position as CEO of OpenAI. The letter (shown below) comes a day after Microsoft's Satya Nadella offered OpenAI employees the opportunity to join Microsoft under Altman's leadership. According to reports, 95 percent of the company's 770 employees had signed the letter by Monday evening.[29]

To the Board of Directors at OpenAl, OpenAl is the world's leading Al company. We, the employees of OpenAI, have developed the best models and pushed the field to new frontiers. Our work on Al safety and governance shapes global norms. The products we built are used by millions of people around the world. Until now, the company we work for and cherish has never been in a stronger position. The process through which you terminated Sam Altman and removed Greg Brockman from the board has jeopardized all of this work and undermined our mission and company. Your conduct has made it clear you did not have the competence to oversee OpenAl. When we all unexpectedly learned of your decision, the leadership team of OpenAl acted swiftly to stabilize the company. They carefully listened to your concerns and tried to cooperate with you on all grounds. Despite many requests for specific facts for your allegations, you have never provided any written evidence. They also increasingly realized you were not capable of carrying out your duties, and were negotiating in bad faith. The leadership team suggested that the most stabilizing path forward - the one that would best serve our mission, company, stakeholders, employees and the public - would be for you to resign and put in place a qualified board that could lead the company forward in stability. Leadership worked with you around the clock to find a mutually agreeable outcome. Yet within two days of your initial decision, you again replaced interim CEO Mira Murati against the best interests of the company. You also informed the leadership team that allowing the company to be destroyed "would be consistent with the mission." Your actions have made it obvious that you are incapable of overseeing OpenAl. We are unable to work for or with people that lack competence, judgement and care for our mission and employees. We, the undersigned, may choose to resign from OpenAl and join the newly announced Microsoft subsidiary run by Sam Altman and Greg Brockman. Microsoft has assured us that there are positions for all OpenAl employees at this new subsidiary should we choose to join. We will take this step imminently, unless all current board members resign, and the board appoints two new lead independent directors, such as Bret Taylor and Will Hurd, and reinstates Sam Altman and Greg Brockman. 1. Speculations About Who Instigated Altman's Firing

Some internet users speculated if Quora CEO, Poe founder and OpenAI board member Adam D'Angelo was responsible for Altman's firing. For example, on November 20th, 2023, X[23] user @scottastevenson and Redditor[24] /u/Bakagami- made posts alluding to D'Angelo's role in the controversy (seen below).

Scott Stevenson @scottastevenson Ilya held his opinion that loosely, then who was the driving force at the board table? "Not consistently candid" = "You didn't tell me you were going to humiliate me by competing with my product launch" It's looking increasingly likely that it was @adamdangelo, who was likely upset that his product launch got destroyed by Custom GPTs ... : This likely got spun into: "How can we trust you if you didn't tell us about this in advance" If this is what happened @eshear needs to help repair what was broken quickly. x.com/adamdangelo/st... 5:35 PM . 355 Discussion Wait a f------ f---, how on earth is the Quora CEO on OpenAl's board? How is that even allowed? (self.singularity) submitted 12 hours ago by Bakagami- Seriously how did he even get in the board. This guy runs a company which is at existential risk because of generative ai like chatGPT. And what's more, guess what else Quora recently made? That's right, Poe. An AI chat interface where you can create different bots by connecting to third party API's. That's EXACTLY what GPTS were going to be. What else did they very recently introduce to Poe, you ask? Well, revenue sharing for bot creators. Yep, you heared that right >.> Again, EXACTLY what GPTS were going to do. "Dev Day was a mistake" I've read this sort of cryptic message a few times the past day, it makes so much more sense now. Jesus f---, who let a direct competitor into their board? Is this even legally allowed? This guy has absolutely nothing to gain from a successful OpenAI but everything to lose. Holy hell. I have no idea about the other 2 board members, but wouldn't be surprised if they have similar conflicting interests. Basically all they needed was to convice Ilya to help them, then they could kick out Sam and would have a majority in the board. Dustin Moskovitz was also discussed as a possible instigator in Altman's firing, as seen in a post by X[25] user @pnegahdar (seen below). However, he denied the allegations on his Threads account, saying that the news came as a surprise to him on November 17th, 2023.[26]

Also on November 20th, Ilya Sutskever made a post on X[13] (seen below) seemingly backtracking on his role in Altman's firing, saying, "I deeply regret my participation in the board's actions. I never intended to harm OpenAI. I love everything we've built together and I will do everything I can to reunite the company."

5:35 PM . Nov 20, 2023 531.1K Views .

A tedmiston 4 minutes ago | next [-] Boosting this deeply nested interesting comment from @alephnerd to the top level: > As I posted elsewhere, I think this is a conflict between Dustin Moskovitz and Sam Altman. Ilya may have been brought into this without his knowledge (which might explain why he retracted his position). Dustin Moskovitz was an early employee at FB, and the founder of Asana. He also created (along with plenty of MSFT bigwigs) a non-profit called Open Philanthropy, which was a early proponent of a form of Effective Altruism and also gave OpenAI their $30M grant. He is also one of the early investors in Anthropic. > Most of the OpenAI board members are related to Dustin Moskovitz this way. > - Adam D'Angelo is on the board of Asana and is a good friend to both Moskovitz and Altman > - Helen Toner worked for Dustin Moskovitz at Open Philanthropy and managed their grant to OpenAI. She was also a member of the Centre for the Governance of AI when McCauley was a board member there. Shortly after Toner left, the Centre for the Governance of AI got a $1M grant from Open Philanthropy and McCauley joined the board of OpenAI > - Tasha McCauley represents the Centre for the Governance of AI, which Dustin Moskovitz gave a $1M grant to via Open Philanthropy and McCauley ended up joining the board of OpenAI > Over the past few months, Dustin Moskovitz has also been increasingly warning about AI Safety. > In essense, it looks like a split between Sam Altman and Dustin Moskovitz https://news.ycombinator.com/item?id=38353330 reply 5:29 PM .
